1. Acceptance of terms

By accessing or using the Autominate platform, website, or any related services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our services. These terms apply to all users, including visitors, registered users, and paying customers.

2. Description of service

Autominate provides a managed automation platform for Australian small and medium businesses. Our service allows you to:

  • Automate repetitive business operations such as invoicing, lead follow-up, reconciliation, and scheduling
  • Connect third-party tools (such as Xero, Tradify, ServiceM8, HubSpot, and others) to automated workflows
  • Monitor automation activity and review logs via the Autominate dashboard
  • Approve, pause, or modify automations at any time

We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable notice.

3. Account registration

To access the platform you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised use of your account
  • Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that violate these terms or that we believe pose a security risk.

4. Payment and billing

Paid plans are billed in Australian dollars (AUD) and are subject to GST where applicable. By providing payment details you authorise us to charge your payment method for the selected plan. Specific pricing, billing cycles, and plan details will be agreed in writing before any charges are applied.

  • All fees are non-refundable unless otherwise stated or required by Australian Consumer Law
  • We will provide at least 30 days notice of any price changes for existing customers
  • Failed payments may result in suspension of your account until resolved

AI Agent pay-as-you-go (PAYG) wallet

Certain AI Agent features are billed on a pay-as-you-go basis via a prepaid wallet. The following terms apply to PAYG wallet use:

  • You must maintain a positive wallet balance to access PAYG AI Agent features. Charges are deducted from your wallet balance as AI Agent tasks are executed
  • Wallet top-ups are processed in AUD and are subject to GST where applicable. Top-up amounts are at our published minimum increments
  • Unused wallet balances are non-refundable except where required by Australian Consumer Law
  • We will notify you by email when your wallet balance falls below the threshold displayed in your account dashboard. If your balance reaches zero, PAYG AI Agent features will be suspended until your wallet is topped up
  • We reserve the right to adjust PAYG usage rates with at least 14 days notice. Rate changes do not affect balances already credited to your wallet at the time notice is given
  • We are not responsible for any loss or disruption caused by a depleted wallet balance, including failure of automated workflows that rely on PAYG AI Agent features

5. Intellectual property

The Autominate platform, including all software, designs, logos, and content, is owned by Autominate Pty Ltd (ACN: 695237293) and is protected by Australian and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of our platform without our written permission. Your data remains your property — we do not claim ownership over content you upload or connect to our service.

6. Acceptable use

You must not use our service to:

  • Violate any applicable law or regulation
  • Send spam, unsolicited communications, or engage in deceptive practices
  • Attempt to gain unauthorised access to any system or data
  • Interfere with the operation of the platform or other users' access to it
  • Upload or transmit malicious code or harmful content

7. Limitation of liability

To the maximum extent permitted by law, Autominate Pty Ltd's total liability to you for any claim arising out of or in connection with these terms or our service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, or consequential loss (including loss of profit, loss of data, or business interruption), even if we have been advised of the possibility of such loss. Nothing in these terms excludes or limits any right you may have under the Australian Consumer Law that cannot be excluded or limited.

8. Third-party integrations

Our platform integrates with third-party services (such as Xero, Tradify, ServiceM8, HubSpot, and others). These integrations are provided for your convenience. We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of those services is governed by their own terms and conditions.

9. Termination

You may cancel your account at any time by contacting us. We may suspend or terminate your access if you breach these terms, with or without notice depending on the severity. Upon termination, your right to use the service ceases. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

10. Governing law

These terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any dispute arising under or in connection with these terms. Autominate Pty Ltd — ACN: 695237293 — registered in Australia.

11. Changes to these terms

We may update these terms from time to time. We will update the date at the top of this page and notify registered users by email of any material changes. Continued use of the service after changes take effect means you accept the updated terms.
